Pezley Portal Terms of Service
Effective October 11, 2026
These Terms of Service (“Terms”) govern access to and use of Pezley Portal, a multi-tenant business software platform operated by Pezley Portal LLC, a Missouri limited liability company with its principal place of business at 10129 N Rock Creek Rd, Centertown, MO 65023 (“Pezley Portal,” “we,” “us,” or “our”). By creating an account, accepting an invitation, starting a trial, subscribing, or otherwise using the service, you agree to these Terms on behalf of yourself and the company or other legal entity you represent (“Customer,” “you”). If you do not agree, do not use Pezley Portal.
If you use the service on behalf of a company, you represent that you have authority to bind that company. References to “you” include your authorized users.
1. The service
Pezley Portal provides project, crew, scheduling, time tracking, messaging, estimating, customer sharing, AI-assisted workflows, and related tools for painting contractors and similar trade businesses. The service is offered as software-as-a-service to many independent companies; each company’s data is logically separated in the product. Features may change over time. We may add, modify, or discontinue features with reasonable notice when practicable.
Pezley Portal is a business tool, not legal, tax, accounting, insurance, or employment advice. You are responsible for your business decisions, compliance, and recordkeeping.
2. Accounts and access
You must provide accurate account information and keep credentials secure. Your company administrator controls roles, permissions, and membership. You are responsible for activity under your account and for ensuring that users you invite comply with these Terms. Notify us promptly at legal@pezleyportal.com if you suspect unauthorized access.
3. Your content, data ownership, and export
You retain ownership of information you and your users submit through the service (“Customer Content”), including data about your jobs, crew, and end customers. You grant us a limited, worldwide license to host, process, transmit, display, and otherwise use Customer Content solely to provide and secure the service, support you, enforce these Terms, comply with law, and as described in our Privacy Policy and, if applicable, our Data Processing Addendum.
You represent that you have the rights needed to submit Customer Content and that its use through Pezley Portal will not violate law or third-party rights.
During an active subscription or trial, we make reasonable self-service export features available where the product supports them (for example downloads, reports, or data you can retrieve through the app). After termination, we may delete Customer Content as described in these Terms and the Privacy Policy; you are responsible for exporting what you need before cancellation or termination.
4. Acceptable use
You will not misuse the service, including by:
- attempting to breach security or access another tenant’s data;
- interfering with operation, performance, or integrity of the service;
- reverse engineering or attempting to extract source code except where applicable law permits;
- uploading malware, unlawful content, or content that infringes intellectual property or privacy rights;
- using the service to send spam, harass others, or engage in fraudulent activity;
- using the service in violation of applicable law, labor rules, payment-card rules, or telecommunications and messaging regulations.
We may suspend or terminate access for conduct that risks the service, other customers, or third parties.
5. Your communications, SMS, email, and end-customer relationships
Pezley Portal may enable you to send SMS, MMS, email, push notifications, and other messages to your crew, leads, and end customers. You are solely responsible for:
- obtaining and documenting all legally required consents and opt-ins (including under the TCPA, state telemarketing laws, carrier and A2P 10DLC registration requirements, and similar rules);
- honoring opt-out requests (for example STOP replies) and maintaining your own suppression lists;
- CAN-SPAM, CASL, and other email marketing and commercial messaging rules, including accurate sender identification and unsubscribe mechanisms where required;
- the content of messages you and your users send and any offers, estimates, contracts, or promises made to your end customers.
Pezley Portal provides tools; it does not act as your attorney or compliance officer. You are responsible for your own client contracts, proposals, change orders, warranties, and trade practices, whether or not created or stored in the product. Templates or AI-generated text are starting points only.
6. Subscription, billing, trials, and taxes
Paid plans, seat counts, usage limits, and pricing are described at signup, in-app, on an order form, or in a separate written agreement. Unless stated otherwise in writing:
- subscriptions renew automatically for successive periods until canceled;
- fees are billed in advance and are non-refundable except where required by law or expressly stated in your order;
- you authorize us and our payment processor to charge your payment method on file;
- failure to pay may result in suspension or termination of access;
- you are responsible for applicable taxes, duties, and assessments (excluding taxes on our net income).
We may offer free trials or promotional access. Trials may be limited in duration, features, or data retention. We may modify or end trials at any time. When a trial ends, continued use may require a paid subscription.
7. Cancellation and termination
By you. You may cancel a subscription through in-app billing settings or by contacting us at legal@pezleyportal.com. Cancellation stops future renewal charges; access typically continues through the end of the current paid period unless otherwise stated.
By us. We may suspend or terminate access immediately for breach, non-payment, legal requirement, or risk to the service or others. We may discontinue the service with reasonable notice when practicable.
Effect. Upon termination, your right to access the service ends. We may delete or de-identify Customer Content after any post-termination retention period described in the Privacy Policy or DPA. Sections that by nature should survive (including ownership, fees owed, disclaimers, limitations, indemnity, and governing law) survive termination.
8. Third-party services and AI
Pezley Portal integrates with third-party products and infrastructure, including without limitation Stripe (payments), Twilio (SMS/voice), Resend (email), Google Firebase (authentication, database, storage), Netlify (hosting and serverless functions), Sentry (error monitoring), Apple (sign-in and push on iOS), and AI providers such as Anthropic, OpenAI, Google, xAI (including via aggregators), and ElevenLabs when you enable relevant features. Those services are governed by their own terms and privacy policies. We are not responsible for third-party products you choose to connect or for AI output accuracy.
AI features may process prompts and business context you submit. You control what you send to AI features and which business permissions apply. Do not submit information you are not authorized to share.
9. Availability and support
We strive for reliable operation but do not guarantee uninterrupted, error-free, or secure service. Maintenance, outages, third-party failures, and factors outside our control may affect availability. The service is provided on an “as available” basis without a committed uptime percentage unless you have a separate signed service level agreement.
Support is provided as described on our Support page.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEZLEY PORTAL LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEZLEY PORTAL LLC AND ITS SUPPLIERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100) IF YOU HAVE NOT PAID FEES IN THAT PERIOD.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
12. Indemnification
You will defend, indemnify, and hold harmless Pezley Portal LLC and its affiliates, officers, directors, employees, and agents from and against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) Customer Content; (b) your or your users’ use of the service; (c) your communications sent through or in connection with the service; (d) your relationships with your end customers or employees; or (e) your violation of these Terms or applicable law.
13. Changes to these Terms
We may update these Terms. We will post the revised Terms with a new effective date. Material changes may also be communicated through the service or by email. Continued use after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the service and cancel any subscription.
14. General
These Terms, together with the Privacy Policy and any order form or DPA incorporated by reference, are the entire agreement between you and Pezley Portal LLC regarding Pezley Portal and supersede prior agreements on the same subject. If a provision is unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
These Terms are governed by the laws of the State of Missouri, USA, without regard to conflict-of-law rules. Except where prohibited, the exclusive venue for disputes arising out of or relating to these Terms or the service is the state or federal courts located in Cole County, Missouri, and each party consents to personal jurisdiction there.
